Terms of Service for Talent

Bryq refers to Idalto Inc. and its subsidiaries.
Please read these Terms and Conditions carefully before using the service provided at https://talent.bryq.com (the "Service") operated by Bryq ("we," "us," or "our").

1. Acknowledgement

These Terms and Conditions govern your use of the Service and form a legal agreement between you and Bryq. They outline the rights and responsibilities of all users.

By accessing or using the Service, you agree to comply with these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.

2. Privacy Policy

We process your Personal Data in the context of our provision of services to your Employer, we are therefore the processor of your Personal Data. Please contact your Employer to address your rights with respect to such data.

3. Use of the Service for Assessment

After accessing the website, potentially through using your Employer’s single sign–on facility, you will be able to take the Bryq assessment.  You agree that Bryq has the right to collect and retain your Assessment Data.  “Assessment Data” refers to information and data collected from your replies in the course of the assessment.

All content within the Service, including test questions and answers, is confidential and owned by Bryq. You may not copy, record, share, or distribute any portion of this content in any form.

You must use the Service independently, without assistance from any person or external resources (whether online or offline). The only tool you are permitted to use during the assessment is a calculator for numerical computations.

You may be asked to provide further information (such as your resume) in conjunction with the use of the service.

4. Employer Access

You have been invited to use the Service by a specific employer ("Employer"). The Service generates a profile based on your assessment, and by using the Service, you grant us permission to:

  • Share your profile with the Employer.

  • Use your profile data anonymously for statistical analysis, which may be shared with the Employer.

5. Service Rules /Termination

When accessing and using the Service, you agree that you shall NOT:

  1. Act in an unlawful or unprofessional manner;

  2. Misrepresent any personal, education, or professional information when entering your information;

  3. Use, disclose, or distribute any data obtained in violation of this Agreement;

  4. Violate the intellectual property or other rights of Bryq, including, without limitation:  

    1. copying or distributing the software or technology related to our Service ; and 

    2. using the word “Bryq” or our logos in any business name, email, or URL;

  5. Modify, adapt, translate, reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Service or any related technology and software;

  6. Sell, sponsor, or otherwise monetize access to the Service;

  7. Sell, trade, resell, transfer, or otherwise exploit for any unauthorized commercial purpose any Account;

  8. Use bots or other automated methods to access the Service;

  9. Monitor the Service’s availability, performance, or functionality for any competitive purpose;

  10. Remove any copyright, trademark, or other proprietary rights notices contained in or on the Site;

  11. Use features or services of the Service for any purpose other than the original intended purpose;

  12. Override or attempt to override any security feature of the Service;

  13. Engage in any activity that interferes with or disrupts the Service (or the servers and networks which are connected to the Site);

  14. Distribute viruses, worms, defects, Trojan horses, corrupted files, hoaxes, or any other harmful code or items of a destructive or deceptive nature to the Service;

  15. Use any automated system or software, whether operated by a third party or otherwise, to extract data from the Service (such as screen scraping or crawling);

  16. Interfere with the operation of, or place an unreasonable load on, the Service ; and

  17. Bypass any limitations of the Service or suspensions of functionality.

Bryq reserves the right to use a variety of methods to detect and block any fraudulent or anomalous activity and to screen Accounts to prevent abuses such as fraud.  However, such detection methods are not perfect and false positives may occur.  If you use the Site, you consent to Bryq enforcing these rules or attempting to prevent fraudulent or anomalous activity, which may result in a temporary or permanent suspension or termination of your Account or use of certain functions of the Site.  Bryq shall not be responsible or liable for any such suspension or termination, including any consequences thereof.

We reserve the right to terminate or suspend your access to the Service immediately and without notice if you violate these Terms.

Upon termination, your right to use the Service will cease immediately.

6. Intellectual Property Rights 

You understand and acknowledge that Bryq owns all right, title, and interest to the Service and all proprietary rights associated therewith.  Bryq reserves all rights not specifically granted herein.  You shall not modify any copyright notices, proprietary legends, any trademark and service mark attributions, any patent markings, or other indicia of ownership on the materials accessed through the website .  Any use of materials or descriptions, any derivative use of the website or its materials, and any use of data mining, robots, or similar data gathering and extraction tools is strictly prohibited.  In no event may you frame any portion of the website or any materials contained therein.

 7. Limitation of Liability

To the fullest extent permitted by law, Bryq and its suppliers are not liable for any indirect, incidental,  consequential or any other type of damages arising from your use of the Service. This includes, but is not limited to, loss of profits, data, or employment opportunities.

 IN NO EVENT SHALL THE LIABILITY OF BRYQ AND ITS AFFILIATES (AND THOSE THAT BRYQ WORKS WITH TO PROVIDE THE SERVICES) EXCEED, IN THE AGGREGATE FOR ALL CLAIMS, AN AMOUNT THAT IS USD $100.

Some jurisdictions do not allow the exclusion of certain liabilities. In these cases, liability will be limited to the greatest extent permitted by law.

8. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE," without any warranties, whether express or implied. Bryq disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Bryq does not guarantee that the Service will meet your needs, operate without interruption, or be error-free. We also do not warrant that the Service or its servers are free from viruses or other harmful components.

Some jurisdictions do not allow the exclusion of implied warranties, so some or all of the above exclusions may not apply to you.

9. Governing Law

These Terms are governed by the laws of the country where Bryq operates, excluding any conflict of law provisions. You may also be subject to other local, state, or national laws depending on your location.

10. Dispute Resolution

If you have any concerns or disputes related to the Service, we encourage you to try resolving the issue informally by contacting Bryq first.

11. EU Users

If you are a resident of the European Union, you will benefit from any mandatory provisions of the law in your country of residence.

12. Severability

If any part of these Terms is found to be unenforceable or invalid, the remaining provisions will continue to be in full force.

13. Waiver

Failure to enforce any right or provision of these Terms does not mean we waive that right. Any waiver of a breach does not constitute a waiver of any subsequent breach.

14. Changes to These Terms

We reserve the right to modify or update these Terms at any time. If changes are significant, we will notify you at least 30 days before the new terms take effect.

By continuing to use the Service after revisions become effective, you agree to the updated terms. If you do not agree with the revised terms, please stop using the Service.
